1. General

Exclusia Sp. z o.o. with brand name UX B2B provides you a b2b platform trading tyres. Our company is situated on address str. Maja 5A, 95-100 Zgierz, Poland with registered VAT number PL7010499944.

To use all functionalities of the website clients have to create an account, as giving all the required information is a suitable proof that client is a company.

After checking the registration data we are keeping the right to accept or decline the activation of your account.

By entering in the website and using it you agree with these terms and conditions and all rights and obligations following them.

 

2. Contents of the contract

The represented catalog of goods is a non-binding offer. Binding offer is client‘s order made in the platform.

This order will be executed from us in the define terms if it‘s possible, as you will be informed for the status of the order in any case.

 

3. Prices and payment viability

Prices are dinamic, they are changing in time and for an actual price we accept the amount registered in the moment of order you are making.

All the prices are desplayed exclusive of Value Added Tax and they are final prices – transport cost are included inside, depending of the country you are ordering from.

As payment options we are working with:

• Payment in advance
• Paypal
• Credit line

When payment is received in our system your order will be executed in the define terms.

Credit lines should be discussed with every customer specifically according the company‘s financial status.

 

4. Delivery

Goods have been shipped from different warehouses to the client‘s place due a courier company – DPD, GLS, DHL – depending on the specific case.

The average delivery term for most European countries is 2-7 working days (excluding the long distance areas, islands etc.).

As the delivery is being done from the third party – a courier company, we cannot take any responsibility about delays due force majeure or other circumstances.

In case of not received goods you have to inform us immediately. Have in mind that courier has 30 days to investigate in the difficult cases.

 

5. Retention of title

We retain title of the delivered goods till the completely payment of the amount by the order.

 

6. Returns

If you want to return some goods you have to contact us not later than 30 days of receiving them. We‘ll organize the pickup of the goods.

As the pickup will be made again with one of the courier‘s companies, have in mind that you will be charged for the back transport depending of the country and which courier company is used.

 

7. Reclamations

In case of damaged products or complains from the end customers for fabric defects please contact us.

The period for posting reclamations is limited on 6 months.

We as a merchant will forward the issue to the producer for a final opinion. Sometimes an inspection from a distance is possible to avoid the transport costs, so in case of a claim it‘s good to be prepared with photos of the issue.

 

8. Data protection

All the data we collect from the users is using only by purpose of executing orders and creating invoices. 

We may share this data with third party (courier companies) again only by purpose to fulfill the contract by the specific order.

By creating on order in our platform you agree with the collection and use of this data.

 

9. Copyright

All texts, images, sound, animations and videos on our platform are subject of the copyright laws.

 

10. Applicable law

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated. If a subject or term is mentioned in these Terms and Conditions the local law is applicable.
